• CONSTITUTION AND BY LAWS

    OF THE

    CHAMBERSBURG AREA BAND PROMOTION ASSOCIATION

     

    ARTICLE I – TITLE

     

    The name of this organization shall be the Chambersburg Area Band Promotion Association, hereinafter referred to as “Association.”.

    ARTICLE II – PURPOSE


    The purpose of the Association shall be:

           To arouse and maintain an enthusiastic interest in the Chambersburg Area Senior High School,  referred to as “CASHS” Band.

           To assist with the operations, public relations, finances and student activities of the CASHS Band as set forth by the Directors in the Chambersburg Area Band Promotion Association Organizational Structure.

           To cooperate fully with the Band Directors and the Administration of the Chambersburg Area School District in being an auxiliary operational support to the CASHS Band.

     

    ARTICLE III – AUTHORITY FOR DECISIONS

           All activities dealing directly with the Chambersburg Area Senior High School Band for promotion must first of all meet with the approval of the Band Directors.

           All activities dealing directly with the Chambersburg Area Senior High School Band for performance must first of all meet with the approval of the Directors and further with the Administration and Board of School Directors of the Chambersburg Area School District.

           The Association  will not attempt to influence the goals and objectives of the Chambersburg Area Senior High School Band other than to lend its auxiliary operational support to the Band Directors.

     

    ARTICLE IV – MEMBERSHIP

           Membership shall be open to anyone who is a parent or guardian of a Chambersburg Area Senior High School Band member and who is interested in helping promote the activities of the Band.

           Membership may be extended one year beyond child’s graduation.

     

    ARTICLE V – NOMINATION AND ELECTION OF OFFICERS

           A nominating committee of three members appointed by the President at the January meeting shall present a slate of officers for election at the March meeting.

           Additional nominations may be made from the floor.

           The consent to serve will be obtained from all nominees prior to the election in March.

     

    ARTICLE VI – OFFICERS AND TERM OF OFFICE

           The officers shall be President; Vice-President; Recording Secretary and Treasurer.

           All officers presently holding office shall be eligible for re-election by majority vote at the election held in March.

           Elected officers shall assume their duties at the May meeting.

     

    ARTICLE VII – DUTIES OF OFFICERS

           The President shall preside at all general and Executive Committee meetings, and shall be a member ex officio of all committees.

           The Vice-President shall assume all duties of the President in his/her absence.

           The Recording Secretary shall keep accurate minutes of all general meetings and Executive Committees in a permanent book or ledger form.  

           If the Recording Secretary is absent at any meeting, the President shall appoint an acting Secretary for that meeting.

           The Band Directors shall attend to all correspondence and shall be a member ex officio of all committees.

           The Treasurer shall receive all funds due the organization, deposit same with one of the established banks in the Borough of Chambersburg and pay out same on a check bearing any two signatures of the Treasurer, President, or a Band Director.

     

    ARTICLE VIII – EXECUTIVE COMMITTEE

           The Executive Committee shall be composed of the Band Directors, Auxiliary Staff, Officers of the Association and Directors of Finance, Public Relations, Student Activities and Operations.

           The Directors of Finance, Public Relations, Student Activities and Operations shall be appointed by the Band Directors and Executive Officers.

           The Executive Committee shall have general supervision of the affairs of the Association.  

           The Executive Committee shall meet monthly from August through May to determine the policies and to prepare an agenda. for the general meeting.

           The Executive Committee shall be empowered to sanction the spending of funds.

     

    ARTICLE IX – STANDING COMMITTEES

           Committees shall be created by the Band Directors to promote the objectives and interests of the CASHS Band, as set forth each year in the Chambersburg Area Band Promotion Association Organizational Structure.  (See attached)

           At the March meeting, the President shall appoint a committee of three (3) to review the accounts of the Treasurer through May 1stand report their findings at the May meeting.


     

    ARTICLE X – ADOPTION OF THE CONSTITUTION AND BY LAWS

           The Constitution and By Laws shall be adopted by two-thirds vote of the membership present at any regular or special meeting.

     

    ARTICLE XII – AMENDMENTS

             The Constitution and By Laws may be amended by two-thirds vote of the members present at any regular meeting.

           The amendments must have been presented at the preceding regular meeting of the Association.

    BY LAWS


    ARTICLE I – RULES OF ORDER

           Roberts Rules of Order, Revised, shall be the authority on all questions of procedure specifically not stated in the Constitution and By Laws.  The Band Directors shall act as Parliamentarians.


    ARTICLE II – MEETINGS

           The Association shall hold at least  five (5) meetings per year.

           Dates and times of meetings may be changed at the discretion of the Executive Committee to meet extenuating circumstances.

           Additional meetings may be called at the discretion of the President of the Association or the Band Directors.


    ARTICLE III– TAX STATUS PROVISIONS

           Said organization is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

           No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of this document, the organization shall not carry on any other purposes not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

           Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

           CABPA is to be an auxiliary operational support to the CASHS Band as set forth in the organizational structure created by the Band Directors.  Removed language referencing CABPA solely providing assistance with projects that provide funding for the CASHS Band.

           CABPA is to lend auxiliary operational support to the
    Directors, not just solely support the band trips

           Membership shall be for parents or guardians of the CASHS Band.

           Removed language offering membership to other interested parties.
